**1. General Provisions.**
1.1. This Agreement is an official offer (public offer) by Individual Entrepreneur Lidiya Aleksandrovna Semiglazova (hereinafter referred to as the **“Contractor”**) to enter into an agreement on the terms specified below with any individual or legal entity (hereinafter referred to as the **“Client”**). This document constitutes a public offer under Clause 2 of Article 437 of the Civil Code of the Russian Federation.
1.2. A person who accepts this public offer acquires all the rights and obligations of the Client stipulated by this Agreement.
1.3. Acceptance of this public offer is the Client’s full or partial payment for educational, informational, and consulting services under the terms of this Agreement. From the moment funds are received into the Contractor’s account as payment for the services, this Agreement is deemed concluded between the Client and the Contractor.
1.4. Acceptance of this Offer and, accordingly, conclusion of this Agreement means that the Client has familiarized themselves to the extent necessary with and accepts the terms of this Agreement and the rules of the payment system, acknowledges the unconditional suitability of the payment system and website for performing actions and achieving the objectives constituting the subject of this Agreement, and confirms their understanding of the nature of the services to be provided under this Agreement.
The Client confirms their full agreement with the terms of this Agreement by checking the box **“I accept the terms of the Offer Agreement and consent to the processing of personal data in accordance with the Privacy Policy”** or a similar acceptance notification when placing an order for the Contractor’s services.
Ignorance of the terms of this Agreement does not constitute grounds for the Client to make any claims against the Contractor.
1.5. By accepting this offer, the Client confirms that the Contractor’s provision of services under this Agreement remotely using software (hereinafter referred to as **“Software”**) or in person fully complies with the Client’s ability to use services provided in such ways.

1.7. In this Agreement, unless the context explicitly requires otherwise, the following terms shall have the meanings specified below:
1.7.1. **Webinar** — a practical session between the Client and the Contractor in the format of:
— A video presentation of the educational program with the Contractor’s commentary;
— A live-streamed presentation by the Contractor using specialized Software;
— Skill and knowledge practice based on the program and Q&A sessions.
The Client asks questions related to the webinar topic via the webinar room chat or other internet communication tools specified in the educational program.
1.7.2. **Agreement** — this document published on the internet, sent via email for review, or provided for review by any other means.
1.7.3. **Educational Program** — a set of key characteristics of education for the relevant Service Package (scope, content, expected outcomes) and organizational/pedagogical conditions, presented as a curriculum, academic schedule, lesson modules, other components, assessment and methodological materials, and forms of interim/final knowledge assessments.
1.7.4. **Package** or **Service Package** — a combination of educational materials and activities, including webinars, instructions, video lessons, homework assignments, and any other documents or information, or a set of physical wellness exercises, techniques, and group/individual sessions united by a common theme and title, with a total service cost.
1.7.5. **Software (SW)** — a browser (Internet Explorer, Firefox, Google Chrome, etc.) for accessing online resources, or other programs for processing provided information. The Client undertakes to independently ensure the availability of SW on their personal computer.
1.7.6. **Website** — the Contractor’s collection of information, texts, graphic elements, design, images, photos, videos, and other intellectual property, as well as computer programs contained in an information system accessible online at: breathewithli.com.
1.7.7. **Physical Wellness Service** — activities aimed at meeting citizens’ needs for health preservation, physical fitness, and development, including physical exercise events.
1.8. All other terms and definitions in this Agreement shall be interpreted by the Parties in accordance with the current legislation of the Russian Federation and commonly accepted internet practices.
**2. Subject of the Agreement.**
2.1. The subject of this Agreement is the provision of paid services to the Client, including:
— Physical wellness services (demonstration of static/dynamic breathing exercises in group/individual sessions);
— Educational services (online training under the Educational Program, including webinars, access to online chats, and additional materials);
— Informational and consulting services (individual consultations with the Client).
2.2. The Client pays for the Services, and the Contractor undertakes to provide such Services according to the Client’s selected Package.
2.3. Service topics, programs, costs, descriptions, and registration forms are published on the relevant sales page (website), in Appendices to this Agreement, and in the Educational Program for the respective service.
2.4. Services are provided remotely via the internet using Software, including specialized equipment, software, and online services used in the Contractor’s training programs. Access to such online services and Software is granted using the Client’s contact details provided during service purchase. Alternative interaction methods are specified on the service sales page.
**3. Service Delivery Timelines.**
3.1. Services under this Agreement are provided according to the schedule and/or within the timeframe specified on the service sales page.
3.2. Services are deemed properly delivered and accepted by the Client if no reasoned objections regarding quality or scope are submitted within 3 (three) calendar days after the deadline specified in Clause 3.1.
3.3. Access to core course materials, recordings of physical wellness services, and additional materials (if included in the Service Package) remains available to the Client for the period specified in the Appendices.
**4. Service Delivery Procedure.**
4.1. The Contractor provides Services according to the Client’s selected Package.
4.2. Service access is granted as follows:
4.2.1. For online training with access to the Contractor’s learning platform, access credentials are provided within 24 hours of payment.
4.2.2. Webinars are conducted according to the schedule published on the sales page. Recordings are uploaded within 2 (two) business days.
4.2.3. Video lesson access is opened per the schedule on the sales page or Educational Program.
4.2.4. Training obligations are fulfilled upon conducting webinars as per the program.
4.3. For Packages requiring homework, submission is mandatory for accessing subsequent lessons. Feedback is provided within 24 hours on business days.
4.4. Group/individual online/offline session details are communicated via email or messenger. Absence without valid reasons deems the service fulfilled.
4.5. Offline session details are coordinated individually or published on the sales page.
4.6. Access to closed communities (chats) is granted with service access credentials.
4.7. Consulting services are provided upon request. Absence without notice deems the service fulfilled.
4.8. The Client is responsible for monitoring updates via email or additional channels.
4.9. No acceptance certificate is required. Service access via provided contacts suffices as fulfillment.
**5. Rights and Obligations.**
5.1. **Contractor’s Obligations:**
5.1.1. Provide Services properly and on time.
5.1.2. Provide instructions for remote learning tools post-payment.
5.1.3. Protect Client’s personal data per the Privacy Policy.
5.1.4. Notify the Client of service restrictions.
5.2. **Contractor’s Rights:**
5.2.1. Refuse services for non-payment.
5.2.2. Demand compliance with obligations and respectful conduct.
5.2.3. Terminate the Agreement for material breach (e.g., copyright violations).
5.2.4. Engage third parties for service delivery.
5.3. **Client’s Obligations:**
5.3.1. Review service terms, restrictions, and schedules.
5.3.2. Ensure compatible devices/internet access.
5.3.3. Adhere to schedules, deadlines, and participation requirements.
5.3.4. Pay fees on time.
5.3.5. Provide accurate contact/personal information.
5.3.6. Respect participants and avoid unauthorized content distribution.
5.3.7.–5.3.13. Prohibited actions: recording/distributing materials, sharing access, altering website functionality, posting third-party data/ads, disclosing interactions, or defaming the Contractor.
5.3.14. Review health contraindications (Appendix 1).
5.4. **Client’s Rights:**
5.4.1. Demand proper service execution.
5.4.2. Obtain service-related information.
**6. Service Fees and Payment.**
6.1. Service costs are listed on the sales page and may be unilaterally amended by the Contractor.
6.2. Full prepayment (100%) is required.
6.3. Installments may be agreed upon. Non-payment suspends services.
6.4. The Client bears responsibility for credit-related costs.
6.5. Deposits are non-refundable if balance payments are missed.
6.6. Payments are made via methods listed on the sales page.
6.7. Additional services are paid separately.
6.8. Payment is deemed complete upon receipt by the Contractor.
**7. Termination by Client.**
7.1. Termination requests must be submitted before full service delivery.
7.2. The Contractor may deduct incurred costs (e.g., materials, webinars, taxes).
7.3.–7.4. Post-service termination requests are denied.
7.5.–7.7. Refund applications require a signed form, ID copy, and payment proof.
7.8.–7.9. Decisions are made within 7 business days; refunds issued within 3 days.
7.10. Access revocation occurs within 1 business day post-refund approval.
**8. Liability.**
8.1. Parties are liable per Russian law.
8.2. The Contractor is not liable for internet/device failures, spam filters, or inaccurate Client information.
8.3. No guarantees of results; Client bears full responsibility for outcomes.
8.4. Force majeure suspends obligations.
8.5. Liability is limited to the payment amount.
**9. Personal Data.**
9.1. The Client consents to data processing for service delivery and marketing.
9.2.–9.4. Data is processed within Russia.
9.5.–9.6. Consent can be withdrawn, affecting service access.
9.7. The Client consents to non-commercial use of their image.
**10. Copyright Protection.**
10.1.–10.4. Website content is protected by intellectual property rights. Unauthorized use is prohibited.
**11. Final Provisions.**
11.1. Effective upon acceptance until full performance.
11.2. Governed by Russian law.
11.3. Disputes resolved via negotiation, then court.
11.4. Invalid clauses do not void the Agreement.
11.5.–11.11. Electronic signatures and correspondence are legally binding.

2. **Requiring Prior Approval:** Hypertension, pregnancy, asthma, cardiovascular issues, panic attacks, recent surgeries, poor health.
3. **Client Confirms:** Medical clearance, no hidden conditions, assumes all risks.
4. **Client Must Notify** of health changes affecting participation.
